OVERVIEW:
The Corporate Counsel is responsible for providing advice and counsel to Senior Leadership of SES AMERICOM and its affiliates on a broad range of matters, including: transactional work, intellectual property management, corporate governance, and employment matters. This position works closely with the Chief Financial Officer (CFO) and the Senior Leadership Team as well as Commercial and Regulatory counsel.
EXPERIENCE/QUALIFICATIONS:

JD or equivalent degree |
|
5+ years’ legal experience |
|
A proven ability function effectively as a member of cross-functional business teams |
|
Substantial finance, accounting, tax and generalist legal experience |
|
Strong analytical ability and outstanding business judgment |
|
Excellent written and oral communication (including drafting & negotiating skills) |
|
Demonstrated ability to communicate complex legal concepts clearly and effectively |
|
Ability to proactively propose and implement legal process improvements |
|
Operational Excellence Green Belt designation (preferred) |
|
Business oriented & global mindset that focuses on growth-oriented solutions |
|
State Bar Admission |
ESSENTIAL JOB FUNCTIONS:

Identify and organize a process for addressing corporate law functions and processes, including: |
|
|
Transaction support (e.g. M&A & Taxation) |
|
|
Corporate structures to support initiatives |
|
|
Corporate secretarial and governance matters, and |
|
|
Employment law and intellectual property management, as needed |
|
|
Perform secretarial and corporate governance duties relating to SES AMERICOM and its relationship with its parent company; Assist in preparation for board meetings |
|
Actively participate with and manage outside counsel respecting the conclusion of necessary business transactions |
|
Support of finance-related legal issues, transactions, and business initiatives |
|
Attend key meetings as designated by the CFO and provide legal counsel and support |
|
Serve as counsel on corporate compliance matters |
|
